1. Acceptance of Terms

By accessing or using this website (the “Site”), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, you are prohibited from using or accessing the Site.

This Site represents the online presence of the practice or practices identified on this Site (collectively, the “Practice”), which may consist of one or more separate legal entities operating under shared branding.

2. Platform Ownership and License

This Site is powered in part by proprietary website technology, software configurations, design systems, layout structures, source code, deployment systems, structured data architecture, user interface components, and related intellectual property developed and owned by PatientUp, LLC (“PatientUp”), in addition to certain third-party and open-source technologies.

The Practice licenses the website platform from PatientUp. While the Site reflects the Practice’s branding, content, and services, the underlying theme, framework, technical implementation, deployment infrastructure, structured data architecture, and proprietary configurations remain the sole and exclusive property of PatientUp.

Nothing in these Terms transfers ownership of the underlying platform or any proprietary systems to any user, third party, or the Practice beyond the scope of the limited license granted.

Except for the limited access license expressly granted herein, no license or right to use any intellectual property of PatientUp is granted, whether by implication, estoppel, or otherwise.

Unauthorized reproduction, imitation, replication, scraping, reverse engineering, deconstruction, derivative development, competitive benchmarking, commercial exploitation, or creation of competing works based upon the Site’s design architecture, structural framework, or technical implementation is strictly prohibited.

3. Permitted Use

You are granted a limited, non-exclusive, non-transferable license to access and view the Site for personal, informational, and non-commercial purposes only.

You may not:

  • Copy, reproduce, modify, distribute, or publicly display the Site’s design, layout, structure, or source code;
  • Use automated systems (including bots, crawlers, scraping tools, or data extraction technologies) to extract content or structural data;
  • Attempt to decompile, reverse engineer, analyze, disassemble, or replicate the Site’s software or architecture;
  • Mirror the Site or any portion of it on another server;
  • Conduct competitive analysis, technical inspection, or derivative development for the purpose of replicating or developing a competing system;
  • Use the Site’s materials for commercial purposes unrelated to the Practice.

This license automatically terminates if you violate these Terms.

4. Intellectual Property

All Practice-specific content (including logos, branding, text, images, and service descriptions) is owned by the Practice or used with permission.

All platform components — including but not limited to design systems, page structures, layout frameworks, UI components, schema implementation, structured data architecture, deployment systems, navigation flow, user experience hierarchy, technical architecture, custom functionality, and proprietary configurations — are protected by United States and international copyright, trade dress, trademark, and other intellectual property laws and remain the exclusive property of PatientUp.

The visual appearance, layout hierarchy, navigation structure, user interface organization, distinctive arrangement of elements, and overall “look and feel” of the platform may constitute protectable trade dress under applicable law.

Unauthorized use may result in civil and criminal penalties.

Any attempt to replicate the distinctive look and feel, structural framework, proprietary elements, or technical architecture of the platform — whether through automated extraction, manual recreation, derivative development, reverse engineering, or competitive cloning — may constitute intellectual property infringement and unfair competition.

5. Injunctive and Equitable Relief

You acknowledge and agree that any unauthorized use, reproduction, reverse engineering, derivative development, competitive cloning, or misappropriation of the proprietary platform, design architecture, technical structure, or intellectual property of PatientUp would cause immediate and irreparable harm for which monetary damages alone would be inadequate.

Accordingly, PatientUp shall be entitled to seek immediate injunctive relief, temporary restraining orders, equitable relief, and any other remedies available at law or in equity, without the necessity of posting bond or proving actual damages, in the event of any such unauthorized use or infringement.

6. Practice Content and Business Information

The Practice is solely responsible for the accuracy, completeness, and timeliness of all business information, service descriptions, pricing (if any), office policies, and any other content presented on the Site that relates to the Practice’s services.

PatientUp provides technology and website infrastructure only and does not provide clinical services, medical or dental advice, healthcare treatment, or legal, regulatory, or compliance advice. PatientUp does not independently verify Practice-specific content.

The Practice is solely responsible for compliance with applicable healthcare privacy laws and regulations, including HIPAA where applicable.
